Important notice
Please read these Terms & Conditions before using Nayden24. They govern access to the platform, marketplace transactions, orders, payments and use by customers, artisans, contractors, vendors and logistics providers. They do not take away any consumer or other legal rights that cannot lawfully be excluded. The party responsible for supplying each product or service should be identified in the relevant listing, quotation, order summary or confirmation.
1. Acceptance of these Terms
These Terms & Conditions (the “Terms”) form an agreement between you and Nayden 24 LTD (“Nayden24”, “we”, “us” or “our”) concerning your access to and use of www.nayden24.com, any Nayden24 application, account, marketplace, project or order features, communication tools, payment-related features, delivery-tracking functions and related services (collectively, the “Platform”).
By visiting or using the Platform, creating an account, submitting a project request, listing a product or service, placing an order, accepting a booking, or otherwise interacting with a feature governed by these Terms, you agree to them. Where a separate service, provider, payment or order-specific agreement applies, that agreement also forms part of the terms governing the relevant activity.
If you do not agree to these Terms, do not create an account, place an order or use the relevant Platform services. If you use Nayden24 on behalf of a company or another person, you confirm that you have authority to bind that person or organisation.
2. Who may use Nayden24
You must be at least 18 years old and legally capable of entering into the relevant transaction. A business may use the Platform through an authorised representative. Some services may be subject to additional eligibility, geographic, professional, licensing or verification requirements.
You must use the Platform for lawful purposes and provide accurate, current and complete information when requested. You must promptly update material changes to your contact, business, qualification, address, payment or settlement details.
3. Definitions
“Customer” means a person or organisation seeking or purchasing goods, construction services, logistics or other offerings through the Platform.
“Provider” means an artisan, contractor, vendor, supplier, logistics operator or other third party offering goods or services through Nayden24.
“Transaction” means an order, booking, service engagement, purchase, delivery or other commercial arrangement initiated, accepted, managed or paid for through the Platform.
“Order” means a request or purchase submitted through the Platform and accepted or confirmed in accordance with the applicable order process.
“User Content” means material that a user submits, uploads or makes available, including listing text, photographs, reviews, plans, messages, files and business information.
“Transaction Terms” means the listing, quotation, checkout details, order summary, provider terms, delivery details, payment terms and other terms disclosed for a particular Transaction.
4. What Nayden24 does
Nayden24 provides a digital construction marketplace intended to help customers discover and engage artisans and contractors, source building materials and tools, and arrange logistics and deliveries. Platform features may include provider profiles, product and service listings, quotations, order records, messaging, payment processing or collection, settlement administration, and delivery or project status information.
The Platform may be updated, expanded, restricted or withdrawn from time to time. Not every feature or category will necessarily be available to every user or in every location.
4.1 Nayden24’s role in a Transaction
Nayden24 may act as a marketplace facilitator, an intermediary for an identified Provider, or the seller or supplier of a particular good or service where the relevant Transaction Terms expressly identify Nayden24 in that role. The order summary, listing, invoice or confirmation should identify the relevant seller or service provider and the material commercial terms. If the contracting supplier or the allocation of responsibilities is unclear, contact us before making payment or confirming the order.
Unless Nayden24 is expressly identified as the seller or service provider, the contract for the Provider’s goods or services is between the Customer and the relevant Provider. Nayden24 may help communicate, record, administer or resolve issues relating to that Transaction, but does not automatically become the employer, partner, joint venture, agent or guarantor of every Provider.
4.2 Provider independence
Providers are responsible for their own business, personnel, equipment, qualifications, work methods, taxes, insurance where required, licences, product sourcing, workmanship and compliance obligations. A Provider’s presence on the Platform does not create an employment relationship with Nayden24.
4.3 Verification and trust features
Nayden24 may conduct identity, business, reference, qualification or other onboarding checks and may display verification indicators where appropriate. The scope of a check can vary. A verification label or profile review is not a guarantee of a Provider’s character, solvency, professional competence, licensing status at all times, product quality, safety or future performance. Customers should review available information and confirm that the Provider is suitable for the specific project.
5. Accounts, registration and security
5.1 Account information
You must give truthful information during registration and verification and must not impersonate another person, submit forged documents, misrepresent your authority or create accounts to evade restrictions or manipulate the Platform.
5.2 Account security
You are responsible for protecting your login credentials and for activity carried out through your account, except to the extent applicable law provides otherwise. Do not share passwords, one-time passwords (OTPs), PINs or authentication codes. Notify Nayden24 promptly at info@naydenfacilitiesmgmt.com if you suspect unauthorised access, impersonation or a security incident.
5.3 Account accuracy and access
We may request further information to verify an account, protect users, meet legal requirements or investigate suspicious activity. We may limit a feature where information is incomplete, inaccurate or cannot reasonably be verified. Do not use another person’s account without authorisation.
6. Acceptable use and prohibited conduct
You must comply with the Acceptable Use Policy published by Nayden24, which is incorporated into these Terms. In particular, you must not:
- Use the Platform for fraud, theft, money laundering, unlawful transactions, bribery, harassment, discrimination, threats or other illegal conduct.
- Post false, misleading, counterfeit, stolen, unsafe or unauthorised product and service listings or submit fabricated quotations, invoices, reviews, payment evidence or delivery records.
- Interfere with the Platform, bypass security controls, upload malicious code, scrape data without authorisation, or use automation to manipulate listings, rankings, orders or ratings.
- Misuse personal, confidential, commercial or project information obtained through the Platform.
- Use Nayden24 to evade lawful payment checks, misdirect payments, avoid disclosed fees through deception, or defeat a legitimate restriction or investigation.
- Infringe intellectual-property rights or upload content that is unlawful, defamatory, threatening, malicious or otherwise prohibited.
- Attempt to pressure or retaliate against any person for making a genuine complaint or cooperating with a lawful investigation.
We may investigate a suspected breach and take proportionate action under these Terms, the Acceptable Use Policy and applicable law.
7. Listings, quotations and product/service information
Listings and profiles may be supplied by Nayden24 or by Providers. The person or business identified as the seller or service provider is responsible for ensuring that its information is accurate and lawful. Product photographs, descriptions, ratings, availability, specifications, delivery estimates, service areas and prices may be provided by third parties and may require confirmation before an order is accepted.
Providers must disclose material information, including product grade, measurements, quantity, condition, known defects, service scope, relevant exclusions, qualifications where required, estimated timelines, delivery charges and other material costs. Used, reconditioned, substituted or non-standard materials must be clearly identified where relevant. Customers should check specifications and ask questions before confirming a Transaction.
A quotation or estimate is not a final binding price unless identified as such in the Transaction Terms. It may be subject to stated assumptions, site inspection, measurements, material availability, taxes or agreed scope changes. Any change to price or scope after acceptance should be disclosed and agreed in accordance with the relevant Transaction Terms and applicable law.
We may correct obvious listing errors, remove content, request clarification or suspend a listing where we reasonably believe it is inaccurate, unlawful, unsafe or inconsistent with these Terms. Any correction affecting an accepted Order will be handled in accordance with applicable law and the relevant Transaction Terms.
8. Orders, bookings and contract formation
Submitting a request or placing an order may constitute an offer to purchase goods or services, but does not necessarily mean that the order has been accepted. A Transaction becomes confirmed when the applicable order process indicates acceptance or confirmation, or when otherwise agreed in the Transaction Terms.
Before confirming an Order, review the identity of the supplier or Provider, scope of work, product specifications, quantity, total price, applicable fees and taxes, delivery address, estimated timing, cancellation conditions, payment method and any important exclusions. Keep the confirmation, invoice and relevant messages for your records.
Nayden24 or the relevant Provider may decline or cancel a request where there is a reasonable basis, including unavailability, a pricing or listing error, suspected fraud, a legal restriction, inability to verify key information or a material safety concern. If payment has already been received, any refund or reversal will be handled under the applicable Transaction Terms and law. Mandatory consumer rights remain unaffected.
A confirmed Order should not be varied unilaterally. Changes to materials, quantities, specifications, scope, price, site conditions or timing should be recorded in writing and accepted by the relevant parties before the changed work or supply proceeds, except where urgent safety action is reasonably necessary.
9. Prices, commissions, fees and taxes
Prices may include a product or service price, a Nayden24 platform or service fee, a Provider commission, a delivery charge, a disclosed markup, applicable taxes or other costs. The breakdown and total amount payable should be shown or otherwise disclosed before you commit to the relevant Transaction. The particular pricing model may differ between categories and Transactions.
Nayden24 may earn revenue through commissions, service fees, markups or direct sale margins, as applicable to the Transaction. A fee or markup will not be treated as agreed unless it is properly disclosed in the relevant pricing information or Transaction Terms, subject to applicable law.
Unless expressly stated otherwise, users are responsible for taxes, levies, duties or charges legally payable by them in connection with their own business or Transaction. Providers are responsible for their tax and invoicing obligations. Where a tax is collected by Nayden24 or included in an order total, it will be handled as described in the relevant invoice or Transaction Terms.
A displayed price may be corrected before acceptance if an obvious error has occurred. If an error is discovered after payment or order confirmation, we will notify the affected user and handle the Transaction lawfully, which may include offering confirmation at the correct price or cancelling and arranging any applicable refund.
10. Payments and settlement of Providers
10.1 Payment method and instructions
For Transactions initiated through Nayden24, Customers must use the payment method and instructions provided through the authorised checkout or other confirmed payment process. Nayden24 may collect payment from a Customer and settle the eligible amount to the relevant Provider in accordance with the Transaction Terms, applicable Provider agreement, payment-provider requirements and law. Payment services may be provided or supported by third-party banks or payment service providers.
A payment is not confirmed merely because a transfer has been initiated or a screenshot has been sent. Follow the confirmation shown through the authorised payment channel. Do not pay a personal or substituted account based solely on a message or call; verify any change through an official Nayden24 channel.
10.2 Fees, deductions and provider settlement
Provider settlements may be subject to disclosed commissions, service fees, agreed deductions, refunds, reversals, payment-provider charges, transaction adjustments, dispute outcomes or other amounts permitted under the applicable terms and law. Any settlement timeline or payout condition must be read from the applicable Provider agreement or Transaction Terms; this document does not promise a fixed settlement time for every Transaction.
Nayden24 may request reasonable supporting records or review a payment where necessary to resolve a discrepancy, prevent fraud, comply with a payment-provider requirement or respond to a lawful request. Where reasonably necessary and legally permitted, processing or settlement may be paused during a review. Funds will not be forfeited merely because a review occurs, and any restriction remains subject to the applicable law and agreement.
10.3 No implied escrow or unconditional guarantee
Unless a separate written agreement expressly states otherwise for a particular Transaction, payments collected through Nayden24 are not thereby held in escrow or trust, and Nayden24 does not provide an unconditional guarantee of workmanship, delivery, refund, or recovery of funds. Any payment-protection feature or dispute procedure applies only to the extent described in the relevant Transaction Terms and does not create an unstated guarantee or insurance arrangement.
10.4 Payment fraud and disputes
Users must not submit false payment evidence, use payment credentials without authority, deliberately create fictitious transactions, misdirect settlements, or file knowingly dishonest chargebacks. You may nevertheless raise a genuine payment dispute, report an unauthorised transaction, request an applicable refund, or exercise any statutory rights available to you.
Where payment processing is handled by a third-party provider, that provider’s terms, operational rules and dispute procedures may also apply. You may need to contact the relevant bank, card issuer or payment service provider for issues that fall within its responsibilities.
11. Construction services and project engagements
Construction projects often depend on accurate measurements, site conditions, design decisions, permits, material availability, labour, weather and other factors. The Customer and the relevant Provider are responsible for agreeing a sufficiently clear scope, drawings or specifications, milestones, quality requirements, site access, safety responsibilities, price, timing, variation process, inspection and handover arrangements for the particular project.
Providers must perform work with reasonable care and skill and comply with applicable building regulations, permits, safety requirements and professional obligations. Customers must provide accurate project information, lawful instructions, reasonable agreed access and timely decisions or approvals. Neither party should direct work that they know to be unlawful or unsafe.
Where necessary, a Customer should independently confirm whether a Provider holds the licences, qualifications, professional registrations, insurance or other authorisations required for the project. Nayden24 profile checks are not a substitute for statutory approvals, technical inspection, engineering advice or independent professional due diligence.
The parties should document scope changes, additional charges, delays, defects, acceptance and handover. Nayden24 may facilitate communications or retain relevant records through the Platform, but it is not automatically the project manager, architect, engineer, quantity surveyor, building control authority or guarantor of the project unless a separate written agreement expressly provides otherwise.
12. Goods, materials and product warranties
The seller identified for a Transaction is responsible for supplying goods that conform to the description and applicable contractual requirements and for meeting obligations imposed by law. A Customer should inspect materials upon delivery where reasonably possible and promptly report shortages, visible damage, incorrect specifications or other issues in accordance with the relevant terms and applicable law.
Any manufacturer’s warranty, seller warranty or provider workmanship warranty must be described in the relevant listing, invoice, warranty document or Transaction Terms. Do not assume a warranty exists merely because a product or service is listed on Nayden24. Where a warranty is provided, its terms cannot remove statutory rights that cannot lawfully be excluded.
Users must not supply counterfeit, stolen, unsafe, deceptively labelled, unlawfully sourced or non-compliant products. Special or hazardous goods may be supplied or transported only where legally permitted and where required handling, licences and safety procedures are in place.
13. Logistics, delivery and collection
Delivery details should identify the goods, collection and delivery locations, estimated time, charges, access conditions and any special handling requirements. Delivery estimates are provided in good faith but may be affected by traffic, weather, site access, supplier delays, vehicle issues, public emergencies or other circumstances outside a Provider’s reasonable control.
Customers must provide accurate addresses, an available recipient and reasonable lawful access. Logistics Providers must use appropriate vehicles and handling methods, safeguard goods while in their care, and provide truthful collection and delivery updates. Any material delay, loss, shortage or damage should be reported promptly with available evidence.
Responsibility for risk of loss, title, inspection, delivery confirmation and insurance depends on the Transaction Terms and applicable law. Do not assume that goods are insured, or that risk transfers at a particular moment, unless the applicable terms say so. Nothing in these Terms excludes liability or statutory remedies that cannot lawfully be excluded.
14. Cancellations, changes, returns and refunds
Cancellation and refund rights may depend on the type of good or service, stage of performance, the reason for cancellation, any disclosed non-refundable costs, the relevant Transaction Terms and applicable law. The cancellation terms applicable to an Order should be disclosed before confirmation where required.
Customers should submit cancellation requests through the Platform or by emailing info@naydenfacilitiesmgmt.com, with the order reference and reason. Providers should notify Customers promptly if they cannot fulfil an accepted Order. A request to cancel is not necessarily effective until acknowledged or processed under the applicable terms, but this does not limit a statutory right to cancel.
Refunds, where due, will be processed using the original payment method where reasonably possible or another lawful method agreed with the user. Processing time may depend on the relevant bank, card issuer or payment service provider. Nayden24 will not impose a blanket “no refund” rule where a refund is required by law.
Returns of goods may depend on their condition, whether they were custom-made or specially ordered, whether they are perishable or otherwise exempt under applicable law, and the reason for return. Any limitation or cancellation charge must comply with applicable consumer-protection requirements and must have been appropriately disclosed. Statutory rights relating to defective, misdescribed, unsafe or non-conforming goods and services remain unaffected.
For construction services already started or completed, refunds or price adjustments will be assessed against the agreed scope, work actually performed, applicable cancellation terms and legal rights. Any deduction for work performed, materials purchased or costs incurred must be lawful, properly supported and consistent with the applicable contract; it is not automatic merely because a Provider claims it.
15. Complaints and disputes
Users should first raise Transaction issues through the Platform or by emailing info@naydenfacilitiesmgmt.com. Include the order reference, a concise description of the concern, relevant dates, invoices, messages, photographs, proof of payment or delivery, and the outcome requested. Do not send passwords, OTPs or full card credentials.
Nayden24 may review the records available to it, request further information, contact the other party and facilitate a resolution where appropriate. Our ability to determine a dispute may be limited where the matter concerns a separate contract between a Customer and a Provider or where expert inspection, independent evidence or a court or regulator is required. We do not guarantee a particular outcome or resolution period unless a separate service commitment says otherwise.
Users must cooperate honestly, preserve relevant records and avoid threats or retaliation. A party may pursue remedies available under the relevant contract and law, including approaching a competent regulator or court. The Platform’s complaint process does not require a consumer to waive a mandatory statutory right or prevent urgent protective action where necessary.
16. User conduct and reviews
Users must communicate respectfully and must not harass, threaten, discriminate against, blackmail or unlawfully disclose information about other users. Reviews and ratings must reflect genuine experiences. Fake reviews, paid or coordinated rating manipulation, impersonation, knowingly false accusations and threats to publish misleading feedback are prohibited.
Honest criticism and genuine complaints are permitted even when unfavourable to Nayden24 or a Provider. We may remove or restrict content that is unlawful, abusive, manipulated, privacy-invasive or otherwise in breach of these Terms, subject to applicable law.
17. Intellectual property and User Content
17.1 Nayden24 materials
The Platform and its software, branding, logos, design, text, graphics, databases and other materials are owned by or licensed to Nayden24 or the relevant rights holders. Except as permitted by law or expressly authorised in writing, you may not copy, distribute, modify, commercially exploit, reverse engineer or create derivative works from protected Platform materials.
17.2 Content you submit
You retain ownership of User Content to the extent you own it. You confirm that you have the rights and permissions needed to submit it and that it does not unlawfully infringe another person’s rights, disclose confidential information without authority or violate applicable law.
By submitting User Content, you grant Nayden24 a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display and use that content as reasonably necessary to operate, provide, secure and improve the Platform, administer Transactions, respond to support requests and enforce these Terms. This licence continues for the period reasonably needed for those purposes, including retention in backups or records where permitted by law. It does not transfer ownership to Nayden24.
Nayden24 will not treat a Customer’s private project photographs, drawings or site information as freely available marketing material merely because they were uploaded to the Platform. Separate permission will be sought where required for public promotional use. We may remove User Content where reasonably necessary to comply with law, protect rights, address safety or enforce these Terms.
18. Privacy and personal data
Nayden24 processes personal information in accordance with its Privacy Policy and applicable data-protection law, including the Nigeria Data Protection Act 2023 where applicable. The Privacy Policy explains categories of information collected, purposes and lawful bases for processing, disclosure to service providers, retention, security practices and how to exercise privacy rights.
By using the Platform, you acknowledge that relevant personal information may be processed as described in the Privacy Policy and as otherwise permitted or required by law. This acknowledgement does not replace consent where consent is legally required. You must not misuse personal data received through the Platform and must handle any data you receive lawfully, securely and only for appropriate purposes.
19. Third-party services and external links
The Platform may connect to third-party payment processors, banks, logistics operators, hosting or messaging services, mapping providers, analytics tools and external websites. Those services may be subject to their own terms and privacy notices. Nayden24 does not control every third-party system and is not responsible for its independent content or operations, except to the extent responsibility is imposed by law or expressly assumed in a separate agreement.
A third-party listing, link, integration or reference is not, by itself, a blanket endorsement or guarantee. Users should review relevant third-party terms and verify material instructions, especially where money, credentials, personal information or access to a project site is involved.
20. Availability, maintenance and security
We aim to maintain a useful and reliable Platform, but uninterrupted availability cannot be guaranteed. Access may be affected by maintenance, software updates, outages, connectivity, third-party services, cyber incidents or events outside our reasonable control. We may modify or discontinue a feature, provided that we handle existing obligations in accordance with applicable contract terms and law.
We take reasonable steps appropriate to our role to protect the Platform and its records, but no online system can be guaranteed completely secure. Users must take reasonable precautions on their own devices and accounts and promptly report suspected compromise, payment fraud or security vulnerabilities. Do not exploit or publicise a vulnerability in a way that creates avoidable harm.
21. Disclaimers and limits on Nayden24’s role
The Platform is a marketplace and service-coordination environment. Except where Nayden24 expressly contracts as seller or service provider, the Provider is responsible for its products, services, representations, workmanship, personnel, qualifications, licences, safety practices and fulfilment of the Customer agreement.
Provider profiles, ratings, verification indicators, statements, product descriptions and estimated delivery or completion times are informational and do not remove the need for users to exercise reasonable judgement. Nayden24 does not guarantee a particular project outcome, completion date, product availability, Provider performance or the resolution of every dispute.
Nothing in these Terms purports to exclude or limit an obligation, consumer right, warranty, remedy or liability that cannot lawfully be excluded or limited. Where Nayden24 is itself the contracting seller or supplier, it remains responsible for the obligations imposed on it by the applicable Transaction Terms and law.
22. Limitation of liability
To the maximum extent permitted by applicable law, Nayden24 will not be liable for indirect, incidental, special or consequential loss, loss of profit, loss of opportunity, loss of goodwill or loss of data arising from use of the Platform where such loss is not recoverable under the applicable law. This provision does not exclude liability for direct loss where it is legally recoverable, or any liability that cannot lawfully be excluded or limited.
Nayden24 is not responsible for a Provider’s independent acts or omissions solely because the Provider uses the Platform, except where the law or an express agreement makes Nayden24 responsible. This provision does not remove responsibility for Nayden24’s own contractual obligations, misrepresentations or other liability that cannot lawfully be disclaimed.
To the extent permitted by law, Nayden24’s responsibility for a claim will be assessed in light of its actual role in the relevant Transaction, the applicable contract, the nature of the loss, and the actions or omissions that caused it. No general wording in these Terms is intended to defeat mandatory consumer-protection rights or any liability that applicable law prohibits a business from excluding.
23. Indemnity
To the extent permitted by applicable law, you are responsible for losses, reasonable costs or claims suffered by Nayden24 that arise directly from your fraud, unlawful conduct, material breach of these Terms, infringement of another person’s rights or use of the Platform to cause harm. This does not apply to the extent a loss was caused by Nayden24’s own breach, negligence or other conduct for which it is legally responsible, and does not impose a liability that applicable law prohibits.
24. Suspension, restriction and termination
You may stop using the Platform at any time and may request account closure through info@naydenfacilitiesmgmt.com. Account closure does not automatically cancel an outstanding Order, resolve a dispute or remove records that Nayden24 is legally required or permitted to retain.
Nayden24 may warn you, request corrective action, remove content, restrict features, suspend an account, stop accepting new Orders, or terminate access where we reasonably consider it necessary because of a breach of these Terms or the Acceptable Use Policy, suspected fraud, security threats, safety concerns, non-payment, legal requirements, or risk to other users or the Platform. Urgent action may be taken where reasonably necessary. Where appropriate and legally permissible, we will provide the general reason and information about seeking review.
Where an account is suspended or terminated, outstanding payments, refunds, claims, Provider settlements and Transactions will be handled in accordance with the relevant agreements and applicable law. Suspension or termination does not itself authorise forfeiture of funds or eliminate rights already accrued.
25. Force majeure and events beyond reasonable control
A party will not be treated as in breach to the extent that performance is prevented or materially delayed by an event beyond its reasonable control, such as severe weather, flood, fire, public emergency, epidemic, war, civil unrest, government action, lawful restrictions, major infrastructure failure, prolonged utility or telecommunications outage, or a serious third-party service interruption. The affected party should notify the other party as soon as reasonably practicable and take reasonable steps to reduce the impact.
This section does not excuse payment obligations already due, remove mandatory consumer rights, or prevent a refund or other remedy required by law. The specific effect on a Transaction depends on the applicable contract and circumstances.
26. Changes to these Terms
We may update these Terms to reflect changes to the Platform, Transaction processes, risk controls, business practices or law. The current version and its last-updated date will be published on the website. Where required by law or applicable contract, we will give notice of material changes through an appropriate channel.
A revised version will apply from the stated effective date. Continued use after that date may constitute acceptance to the extent permitted by law. Changes will not retroactively remove rights or obligations that have already accrued, except as permitted by law or agreed by the affected parties.
27. Notices and electronic communications
You agree that notices and transaction records may be delivered electronically through the email address associated with your account, Platform notifications, order records or other contact details you provide. You are responsible for keeping those details current and checking relevant notices. Electronic acceptance, order confirmations and records may be relied on to the extent recognised by applicable law.
Notices to Nayden24 should be sent to info@naydenfacilitiesmgmt.com or delivered to the registered address stated below. A notice is not treated as received merely because it was sent to an unofficial account or an address that has not been designated by Nayden24.
28. Governing law and dispute resolution
These Terms are governed by the laws of the Federal Republic of Nigeria, subject to any mandatory laws applicable to the particular user or Transaction. The parties should first try in good faith to resolve disputes through the Nayden24 support process or direct discussion where appropriate.
If a dispute cannot be resolved informally, it may be referred to a court or competent authority with jurisdiction under applicable law. Any reference to the courts of Lagos State or the Federal High Court, as applicable, is subject to that court having proper jurisdiction and to any mandatory statutory dispute-resolution rights. Nothing in this section prevents a consumer from approaching the FCCPC, another competent regulator or a court where permitted by law.
29. General provisions
These Terms, the relevant Transaction Terms, the Acceptable Use Policy, the Privacy Policy and any applicable provider or service-specific agreement govern the relevant relationship. If there is a conflict, the documents should be read together and interpreted to give effect to the specific Transaction Terms without overriding mandatory law. A separate written agreement may expressly vary these Terms for the activity it covers.
If any provision is found invalid or unenforceable, it will be limited or severed only to the extent necessary, and the remaining provisions will continue where legally possible. A failure or delay in enforcing a provision is not a waiver of it. You may not transfer your rights or obligations under these Terms without required consent. Nayden24 may assign or restructure its rights and obligations as part of a lawful business reorganisation or transfer, provided applicable rights are respected.
Nothing in these Terms creates a partnership, joint venture, employment relationship or agency between Nayden24 and a user, except where expressly established in a separate written agreement. These Terms do not confer enforceable rights on a third party unless applicable law or a separate agreement provides otherwise.
